1. About Helionis Limited
Helionis Limited is a private company limited by shares, registered office at 77 Oakbank, New Addington, Croydon, CR0 9EF, United Kingdom (Company No. 17338437, incorporated 14 July 2026). We distribute solar energy equipment sourced from verified wholesale suppliers; we do not manufacture equipment.
2. Orders and Acceptance
Placing an order (retail or trade) is an offer to purchase, not a binding contract until we confirm acceptance — by email confirmation for retail orders, or by written/account confirmation for trade orders. We reserve the right to decline or cancel an order where stock cannot be secured from our supplier network, where a pricing or listing error is identified, or where fraud/compliance concerns arise.
3. Pricing
Prices shown are exclusive of VAT unless stated otherwise, and are confirmed at the point of order — a price shown at browsing time is not guaranteed until checkout/order confirmation. Trade pricing is visible only to approved trade accounts and may vary by order volume; retail and trade pricing for the same SKU may differ.
4. VAT
VAT is applied according to your VAT registration status, business location, and delivery destination — see our VAT Validation process for trade accounts. Qualifying UK residential solar-plus-battery installations may benefit from 0% VAT under current UK policy; eligibility is confirmed at checkout and depends on the specific installation, not automatically applied to every order.
5. Payments
Retail orders are paid at checkout by card or bank transfer. Trade accounts may be offered invoiced payment terms following an account review (see Trade Account — Credit Accounts). Orders paid by bank transfer are held pending cleared funds before dispatch.
6. Ownership (Title)
Ownership of goods remains with Helionis Limited until payment is received in full. For trade accounts on invoiced terms, this means title does not pass on delivery but on full payment of the relevant invoice — goods supplied on credit terms remain our property, identifiable and separate from other stock, until paid for.
7. Risk Transfer
Risk in the goods (responsibility for loss or damage) passes to the customer on delivery to the address specified in the order, or on collection if a collection order is arranged. This is separate from ownership (Section 6) — risk can pass before title does, on credit-account orders.
8. Force Majeure
Neither party is liable for delay or failure to perform obligations under these terms caused by events outside their reasonable control, including but not limited to: natural disasters, war, civil unrest, government action, supplier insolvency or failure, transport network disruption, or significant currency/customs disruption affecting cross-border supply. The affected party will notify the other as soon as reasonably practical and take reasonable steps to mitigate the impact.
9. Limitation of Liability
Our liability for any order is limited to the value of that order, except where liability cannot be excluded or limited by law (including death or personal injury caused by our negligence, and fraud). We are not liable for indirect or consequential losses (including, without limitation, loss of profit, loss of generation revenue, or business interruption) arising from a product defect or delivery failure, except where required by applicable law. This limitation does not affect a consumer's statutory rights under UK consumer protection law.
10. Website Usage
This website and its content (excluding manufacturer-provided datasheets, images and specifications, which remain the property of the relevant manufacturer) are the property of Helionis Limited. You may not reproduce, scrape, or commercially repurpose website content without our written permission. Product pricing and availability information displayed on the site is provided for the purpose of purchasing from Helionis Limited and may not be systematically extracted for other commercial use.
11. Trade Customers
Trade account holders are bound by these Terms & Conditions in addition to any specific terms agreed at account setup (e.g. credit terms, agreed delivery arrangements for bulk/project orders). Where a conflict exists between these general terms and specific terms agreed in writing with a trade account, the specifically agreed terms take precedence for that account.
12. Consumers
Nothing in these Terms & Conditions affects your statutory rights as a consumer under UK consumer protection law (or, where applicable, equivalent EU consumer-rights law for customers in our EU sourcing/delivery markets), including your rights under the Consumer Rights Act 2015 and Consumer Contracts Regulations. Where any clause in these terms conflicts with a statutory consumer right, the statutory right prevails.
13. Account Suspension
We may suspend or close a trade or customer account where: payment obligations are not met, fraudulent or suspicious activity is identified, sanctions-screening or KYC checks cannot be satisfactorily completed, or the account is used in a way that breaches these terms. We will normally notify the account holder of the reason, except where doing so would itself create a compliance risk (e.g. certain sanctions-related situations).
14. Applicable Law
These terms are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising from these terms or from an order placed with Helionis Limited, except where a consumer in another jurisdiction has a mandatory right under their local consumer-protection law to bring proceedings in their own country, which is not excluded by this clause.
